This work investigates the use of criminal law sanctions as a corporate governance tool. In order to do so, the company law purpose of the rules is explained and the utility of the application of criminal sanctions explored. - - The work breaks new ground as, firstly, there has been little UK analysis of the purpose served by many company law rules, secondly, there are no studies which investigate criminal sanctions in this context and lastly, novel alternative approaches are suggested.
